Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Community Ventures' public website and related community, identity, makerspace, inventory, and QR-code services, including comvent.org, makerspace.comvent.org, auth.comvent.org, and inventory.comvent.org (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. About Community Ventures

Community Ventures provides online and physical infrastructure for community participation, projects, events, shared resources, and makerspace activities. Some Services may be available publicly, while others require an account, membership, invitation, certification, payment, or approval.

These Terms apply to the online Services. Additional posted rules, safety procedures, membership agreements, waivers, project agreements, event rules, and equipment-specific requirements may also apply. If a more specific written agreement conflicts with these Terms, the more specific agreement controls for that activity.

2. Eligibility and accounts

You must be legally able to agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization.

Where parental, guardian, school, provider, or other authorization is legally required, a minor may use the Services only with that authorization and appropriate supervision.

When you create or use an account, you agree to:

• provide accurate information and keep it reasonably current;
• protect your account and sign-in methods;
• not share credentials or allow unauthorized account use;
• promptly report suspected unauthorized access; and
• accept responsibility for activity performed through your account unless caused by our failure to use reasonable safeguards.

You may sign in through a supported third-party identity provider. Your use of that provider is also governed by its terms.

3. Acceptable use and community conduct

You must use the Services lawfully, safely, and respectfully. You may not:

• harass, threaten, discriminate against, exploit, or impersonate another person;
• post unlawful, fraudulent, defamatory, abusive, or intentionally deceptive content;
• infringe intellectual-property, privacy, publicity, contractual, or other rights;
• introduce malware, probe security controls, disrupt operations, or access data or systems without authorization;
• use automated means to scrape, overload, or abuse the Services without written permission;
• bypass membership, payment, certification, safety, access-control, or usage restrictions;
• falsify project, inventory, checkout, certification, financial, maintenance, safety, or audit records;
• use Community Ventures resources primarily for spam, unauthorized advertising, or unrelated commercial solicitation; or
• help another person do any of the above.

Community spaces depend on good-faith participation. We may establish and enforce additional codes of conduct or moderation standards for particular groups, projects, events, or facilities.

4. Makerspace, tools, inventory, and physical activities

Online access to tool, inventory, certification, checkout, maintenance, QR-code, or project information does not by itself authorize physical access or equipment use.

You must follow all posted rules, instructions, access restrictions, training requirements, certifications, supervision requirements, and applicable laws. Do not use equipment that you are not qualified or authorized to use. Stop work and report unsafe, damaged, or malfunctioning equipment.

Physical activities can involve risks that cannot be eliminated through software or instructions. Applicable membership agreements, waivers, insurance requirements, or activity-specific acknowledgements may describe those risks and responsibilities in greater detail.

You are responsible for returning borrowed property on time and in substantially the condition required by the applicable checkout or lending rules, ordinary wear excepted. Deposits, replacement costs, repair charges, late fees, or other amounts may apply where separately disclosed or agreed.

5. Projects, events, groups, and transactions

Project, event, group, funding, volunteer, and resource listings may be submitted by members or other participants. Unless Community Ventures expressly states otherwise, we do not guarantee that a listing is accurate, complete, funded, available, safe, or suitable for a particular purpose.

Commitments involving money, property, labor, intellectual property, transportation, regulated activity, or risk may require a separate written agreement. A listing, expression of interest, RSVP, application, or discussion in the Services does not create a binding funding or partnership obligation unless authorized parties enter a separate agreement.

6. Your content

You retain ownership of content you submit, subject to any rights you grant elsewhere. You represent that you have the rights and permissions needed to submit it.

You grant Community Ventures a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, and distribute your content only as reasonably necessary to operate, secure, promote, and improve the Services and the community activity for which you submitted it. This license continues for as long as the content remains in the Services and for reasonable backup, archival, safety, audit, and legal purposes.

Content you intentionally mark or submit as public may be visible and shared publicly. Do not submit confidential, sensitive, or third-party information unless you are authorized to do so and the feature is intended for it.

We may remove or restrict content that violates these Terms, creates safety or legal risk, interferes with the Services, or is no longer appropriate for the activity where it was submitted.

7. Community Ventures content and software

The Services, including their software, design, text, graphics, logos, and organization-provided materials, are owned by or licensed to Community Ventures and are protected by applicable law. Except as allowed by law or an applicable open-source license, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services without permission.

We grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purposes while you comply with these Terms.

8. Privacy

Our collection and use of personal information are described in the Community Ventures Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

9. Third-party services and links

The Services may integrate with or link to third-party services, including identity providers, hosting, communications, publishing, inventory, payment, mapping, or other systems. We do not control third-party services, and their terms and privacy policies govern your use of them.

A link or integration does not necessarily imply endorsement. Community Ventures is not responsible for third-party content, availability, security, or practices except to the extent required by law.

10. Service availability and changes

We may add, change, suspend, or discontinue features. We aim to operate reliable Services but do not guarantee uninterrupted, error-free, or permanently available access. Maintenance, security incidents, third-party outages, equipment failures, or organizational changes may affect availability.

You are responsible for keeping copies of content or records you need, except where Community Ventures has separately agreed to maintain an official record.

11. Suspension and termination

You may stop using the Services at any time. You may request account closure as described in the Privacy Policy, subject to records we must or reasonably need to retain.

We may restrict, suspend, or terminate access when reasonably necessary to:

• enforce these Terms or other applicable agreements;
• address unsafe conduct, misuse, nonpayment, or policy violations;
• protect people, property, data, systems, or Community Ventures operations;
• comply with law or a valid legal request; or
• discontinue a Service.

Where appropriate, we may provide notice or an opportunity to address the issue. Serious, urgent, repeated, or unlawful conduct may require immediate action.

12. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available." Community Ventures disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Information in the Services is provided for community and operational purposes and is not professional legal, medical, financial, engineering, safety, or regulatory advice. You remain responsible for appropriate professional review, permits, inspections, training, protective equipment, and risk assessment.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

13. Limitation of liability

To the fullest extent permitted by law, Community Ventures and its directors, officers, employees, volunteers, members, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or opportunities arising from or related to the Services.

To the fullest extent permitted by law, Community Ventures' aggregate liability arising from the online Services will not exceed the greater of the amount you paid Community Ventures specifically for the affected online Service during the twelve months before the event giving rise to the claim or 100 Canadian dollars.

These limitations do not apply where prohibited by law and do not alter liabilities or responsibilities established by a separate signed agreement, waiver, insurance arrangement, or applicable physical-activity rules.

14. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Community Ventures and its directors, officers, employees, volunteers, and contractors from claims, damages, losses, and reasonable costs arising from your unlawful use of the Services, your content, your violation of these Terms, or your infringement of another person's rights.

This section does not require you to indemnify a party for its own fraud, willful misconduct, or liability that cannot legally be shifted to you.

15. Governing law and disputes

These Terms are governed by the laws applicable where Community Ventures is organized and operates, without regard to conflict-of-law rules, unless applicable law requires otherwise.

Before starting formal proceedings, you and Community Ventures agree to make a reasonable good-faith effort to resolve the issue directly. Nothing in this section prevents either party from seeking urgent injunctive relief or using a tribunal, small-claims process, regulator, or other forum where applicable law provides that right.

16. Changes to these Terms

We may update these Terms as the Services, activities, or legal requirements change. We will post revised Terms with a new effective date. Material changes may receive additional notice through the Services or account communications when appropriate.

Your continued use after revised Terms take effect means you accept the revised Terms. If you do not agree, stop using the Services.

17. General provisions

If any provision is unenforceable, it will be modified only as much as necessary, and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not transfer your rights or obligations under these Terms without our consent. We may transfer these Terms as part of an organizational restructuring, merger, asset transfer, or similar change.

These Terms, the Privacy Policy, and any applicable specific written agreements constitute the agreement concerning your use of the Services.

Do not send passwords, private keys, or other authentication secrets.
